Talent Management Contract
This Film/T.V./Theatrical/Music MANAGEMENT CONTRACT (‘Contract”) is entered into by and between Wise Up Management, Inc., acting by and through its designated representative _____ Manager (individually and collectively "Representative") and ____________ ("Artist"/model/dancer). On _______________, 2010
The terms of this Contract are as follows:
Term and Termination: The Term of this Contract shall commence on the date hereof and continue for a period of 1year from the effective date of Nov ____ 2010 of this Contract. The Term shall automatically be extended for successive one year Nov___ ,2012 terms unless either party notifies the other party in writing not later than fifteen (15) days prior to the end of the applicable term that it wishes to terminate this Contract. Notwithstanding the above, either party may cancel this Contract without cause by giving fifteen 15 days advance written notice to the other party anytime after the effective start date of this Contract.
Exclusivity: During the Term stated above Representative shall have the sole and exclusive right to perform said Managerial services within the following industries: motion pictures, television, radio, music, literary, theatrical engagements, personal appearances, public appearances, in places of amusement and entertainment, records and recordings, publications, and the use of my name, likeness and talents for purposes of advertising and trade. Artist understands and acknowledges that Representative may represent other artists who may compete with Artist in all of the industries mentioned above.
Services: Representative agrees to use its reasonable efforts to perform one or more of the following services for Artist:
a) To represent Artist and act as Artist exclusive advisor in both personal and business matters of policy relating to the Artist career within all media and entertainment business of any kind;
b) To cooperate with and supervise Artist relations with any motion picture, theatrical, television, music or literary agents employed on Artist behalf; to advise and counsel Artist in the selecting of third parties, to assist, accompany or improve Artist artistic presentation and to make himself/herself available at reasonable times to confer with Artist in all matters concerning Artist career;
c) To perform other reasonable services customarily rendered by personal and business managers in the entertainment business.
Compensation: In consideration of Representatives services, Artist agrees that Representative shall be entitled to receive a fee equal to thirty percent (_30__ %) of all gross compensation received by or credited to Artist in connection with services rendered or rights granted by Artist in all forms of entertainment, music, theatrical, and media business payable ten business days after Artist receives such compensation. Said compensation shall continue for one (2) Year following the termination of this Contract by either party for services rendered and/or rights granted during the Term of this Contract. Artist agrees to pay Representative said commission following the Term hereof upon and with respect to all of Artist's gross compensation received after the expiration of the Term hereof but derived from any and all employments, engagements, contracts, agreements and activities. negotiated, entered into, commenced or performed during the Term hereof relating to any of the foregoing, and upon any and all extensions, renewals and substitutions thereof and therefore, and upon any resumptions of such employments, engagements, contracts, agreements and activities which may have been discontinued during the Term hereof and resumed within one (2) year thereafter. The term "gross compensation" shall include but not he limited to salaries, earnings, fees, royalties, bonuses, shares of profit, shares of stock, partnership interests, percentages and the total amount paid for a television or radio program (live or recorded), motion picture or other entertainment products or services, earned or received directly or indirectly by Artist or by Artist’s heirs, executors, administrators or assigns, or by any person, firm or corporation on Artist’s behalf.
Receipt of Compensation: Representative is not authorized to receive, on Artists behalf, any “gross compensation or any other considerations of compensation”. Representative shall bill Artist for all compensation due to Representative. Artist shall ensure that all compensation due to Representative is paid to representative no later than ten (10) days after Artist is billed by Representative. Notwithstanding the foregoing, Artist may, at any time, require all "gross compensation or other considerations" to he paid to a third party, provided that such party shall irrevocably be directed in writing to pay Representative all commissions due hereunder.
Authority of Manager: Representative is hereby appointed Artists exclusive, true and lawful attorney-in-fact, to do any or all of the following, for or on behalf of Artist, during the Term of this Contract:
a) Approve and authorize any and all publicity and advertising, subject to Artist's previous approval;
b) Approve and authorize the use of Artist’s name, photograph, likeness, voice, sound effects, caricatures, literary, artistic and musical materials for the purpose of advertising any and all products and services, subject to Artist's previous approval;
c) Execute in Artist's name contracts for the granting of rights and rendering of services by Artist, subject to Artist's previous consent to the material terms thereof and subject to artist previous approval;
d) Without in any way limiting the foregoing, generally execute and perform any other act, deed, matter or thing whatsoever, that ought to be done on behalf of the Artist by a personal and business manager with Artist previous approval;
e) Act as the Artist’s Primary representative and have final authority in regards to the Artist’s relationship with all other members of the Artist’s representation team to include:
1. Talent/Booking Agent (Theatrical, Television and/or Music) 2. Publicist
3. Entertainment Attorney 4. Any other person or persons in which Artist and Representative deem necessary to employ to enhance or promote Artist career and
f) Coordinate with all client service providers of Wise Up Management, Inc., to facilitate the business strategies, tax, insurance, retirement planning, and any other personal, financial, and business needs of the Artist.
Advertising: During the Term hereof, Representative shall have the exclusive right to advertise and publicize Representative as Artist's personal/business manager and representative with respect to the media and entertainment industry.
California Law; Arbitration: This Contract is made and executed in the State of California and shall be construed in accordance with the laws of that state applicable to contracts to be wholly performed therein. All disputes shall be resolved by binding arbitration before the American Arbitration Association before a sole arbitrator. The prevailing party shall be entitled to recover all cost of the arbitration procedure from the other party.
Non-Talent/Music Booking Agent Disclosure: Artist is under the full understanding that Representative is NOT a licensed Talent or Music Booking Agent, and will not under any circumstances attempt to procure any employment for Artist at anytime. Artist understands that Representative will however participate in negotiating all personal and business contracts for the Artist after the initial employment for Artist has been procured by a licensed talent/booking agent only. Artist understands that Representative will assist Artist in procuring the services of a licensed Talent/Booking Agent.
10. In the event any provision hereof shall for any reason be illegal or unenforceable then, and in any such event, the same shall not affect the validity of the remaining portions and provisions hereof. This agreement is the only agreement of the parties and there is no other or collateral agreement (oral or written) between the parties in any manner relating to the subject matter hereof.
Entire Contract: This Contract constitutes the entire Contract between parties hereto. This Contract shall not he revised or modified or terminated except by an agreement in writing, executed by the party against whom enforcement of the change or in modification or termination is sought. If the foregoing accurately reflects your agreement, please so indicate by signing a copy of this Contract in the space provided below.
This Contract and all content herein, is not valid or enforceable by either party of this Contract until the Contract has been executed below by both parties and the President of
Wise Up Management, Inc.
